Terms of Service

1. Agreement to Terms

By accessing or using MediSphereXR, you agree to these Terms of Service ("Terms"). If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization.

2. Eligibility & Accounts

You must be of legal age to form a binding contract. You are responsible for your account credentials and for all activity under your account.

3. Organization Workspaces & Roles

Organizations may create workspaces and invite users. Admins control membership, role-based permissions, and data access. Your use is also governed by your organization's policies.

4. Subscriptions, Trials & Billing

We do not offer a free plan. A 7-day full-access trial may be granted upon request and management approval. Fees, taxes, and payment terms are stated at purchase. Subscriptions renew unless canceled per your plan. Unless otherwise stated, fees are non-refundable.

5. License to Use the Service

Subject to these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal purposes.

6. Customer Content & PHI

You retain ownership of your content. You grant us a license to host, process, and display content solely to provide the service. You are responsible for ensuring content complies with law and contracts, including de-identification of patient data where required. For HIPAA-covered entities, we can execute a BAA.

7. Acceptable Use

You agree not to:

• Misuse the service;
• Attempt to access unauthorised areas or data;
• Reverse engineer or circumvent security;
• Upload unlawful or infringing content;
• Use the service to create a competing product.

8. Service Availability; Modifications; Beta

We may modify or discontinue features. From time to time, we may offer beta features; you use betas at your own risk, and they are provided "as is."

9. Third-Party Services

The service may integrate with third parties (e.g., SSO, storage, and payments). Your use of those services is governed by their terms and policies.

10. Intellectual Property

We and our licensors own all rights in the service and associated IP. No rights are granted except as expressly stated.

11. Feedback

If you provide feedback or suggestions, you grant us a royalty-free, perpetual license to use them without restriction.

12. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information with reasonable care and use it only as necessary to perform under these Terms.

13. Privacy

Our processing of personal data is described in the MediSphereXR Privacy Policy, which is incorporated by reference.

14. Security

We implement administrative, technical, and organizational safeguards appropriate to the risk, including encryption in transit and at rest, access controls, and monitoring.

15. Data Retention & Export

Upon termination or request, you may export your data. We will delete or de-identify customer content per our retention policy and applicable law.

16. Warranties Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

18. Indemnification

You will indemnify and hold us harmless from claims arising out of or related to your content, your use of the service in violation of these Terms, or your violation of law or third-party rights.

19. Term & Termination

These Terms remain in effect until terminated. We may suspend or terminate access for breach or risk of harm. You may terminate by canceling your subscription. Certain sections survive termination.

20. Governing Law & Venue

21. Export Control & Sanctions

We may update these Terms. We will post the updated version with the Effective Date and, where material, provide notice via the service or email. Continued use after changes constitutes acceptance.
